Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Flynton Technologies Private Limited ("Flynton", "we", "us", "our").
By signing up for, accessing, or using the Flynton platform at flynton.com, you agree to be bound by these Terms. If you do not agree, do not use Flynton.

1. Definitions
In these Terms, the following definitions apply:
• "Platform" means the Flynton software-as-a-service product accessible at flynton.com and associated APIs, mobile applications, and tools.
• "Customer" or "you" means the individual or legal entity that registers for and uses the Platform.
• "User" means any individual authorised by the Customer to access and use the Platform under the Customer's account.
• "Account" means the Customer's registered account on the Platform.
• "Contact Data" means personal data about third-party individuals (prospects, leads) uploaded or imported by the Customer into the Platform.
• "Subscription" means the paid plan the Customer has selected, as described on the Pricing page.
• "Free Trial" means the 14-day period during which the Customer may use the Platform at no charge.
• "Confidential Information" means any non-public information disclosed by either party to the other.
• "AI Output" means content generated by Flynton's AI systems including ICP profiles, email sequences, call scripts, and message angles.
2. Account Registration and Access
2.1 Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding contract to use Flynton. If you are registering on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2.2 Registration
To use Flynton, you must create an account by providing accurate and complete information including your name, business email address, company name, and any other information requested during registration. You agree to keep this information current and accurate at all times.
2.3 Account Security
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify Flynton immediately at security@flynton.com if you suspect unauthorised access
• You may not share your account credentials with third parties outside your organisation
• You may not create accounts using automated means or under false pretences
2.4 Account Types and Users
Your Subscription plan determines the number of Users who may access your account. The Customer is responsible for ensuring all Users comply with these Terms. Each User must have a unique login, sharing login credentials between multiple individuals is not permitted.
3. Free Trial
Flynton offers a 14-day free trial to new Customers. The following conditions apply to the free trial:
• No credit card or payment information is required to start the free trial
• The free trial begins on the date of account registration
• Full platform features are available during the free trial period
• At the end of the 14-day period, your account will be downgraded unless you select a paid Subscription plan
• Flynton reserves the right to modify or terminate the free trial offer at any time with reasonable notice
• Customers who have previously held a paid Subscription are not eligible for a new free trial
4. Subscriptions and Payment
4.1 Subscription Plans
Flynton offers the following Subscription plans as described on our Pricing page: Starter, Growth, Team, and Business. Plan features, contact limits, and pricing are as specified at flynton.com/pricing at the time of purchase. Flynton reserves the right to modify plan features and pricing with 30 days' notice to existing Customers.
4.2 Billing and Payment
• Subscriptions are billed monthly in advance on the date of plan activation
• Payment is processed by Stripe/Razorpay — Flynton does not store your card details
• All prices are in Indian Rupees (₹) and exclusive of GST unless stated otherwise
• GST will be charged at the applicable rate on all invoices
• A GST-compliant invoice will be generated and emailed to you on each billing date
• Invoices are also available for download from Settings → Billing within the platform
• Payment is due immediately on the billing date — failed payments may result in suspension
4.3 Auto-Renewal
Your Subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You authorise Flynton to charge your payment method on file for each renewal period. We will send a reminder email 7 days before each renewal.
4.4 Plan Upgrades and Downgrades
• Upgrades take effect immediately — you will be charged a prorated amount for the remainder of the current billing period
• Downgrades take effect at the start of the next billing period
• Downgrading may result in loss of access to features or data that exceed your new plan limits
4.5 No Refund Policy
ALL SALES ARE FINAL. FLYNTON DOES NOT OFFER REFUNDS.
Subscription fees are non-refundable. This includes:
• Partial months — no refund for unused days in a billing period
• Early cancellation — no refund if you cancel before the billing period ends
• Plan downgrades — no refund for the difference in plan price
• Free trial conversions — once a paid Subscription is activated, no refund applies
Exception: If Flynton experiences a verified platform outage exceeding 24 continuous hours in a billing period, we will credit your account with a prorated amount for the outage period. This credit will be applied to your next invoice and is not redeemable for cash.
4.6 Suspension for Non-Payment
If payment fails, Flynton will attempt to charge your payment method up to 3 times over 7 days. If payment remains outstanding after this period, your account will be suspended. Suspended accounts retain data for 30 days before permanent deletion. You may reinstate your account by updating your payment method and settling the outstanding balance.
5. Acceptable Use Policy
5.1 Permitted Use
You may use Flynton only for lawful B2B outbound sales and marketing activities for your own business. You agree to use the platform in accordance with all applicable laws and regulations.
5.2 Prohibited Use
You must not use Flynton to:
• Send unsolicited commercial communications ("spam") in violation of applicable anti-spam laws including India's Information Technology Act 2000, GDPR, CAN-SPAM, or CASL
• Upload, store, or process personal data without a lawful basis or the data subject's consent where required
• Upload sensitive personal data including health data, financial account data, biometric data, or data relating to minors
• Send communications to individuals who have previously unsubscribed or opted out
• Impersonate any person or entity or misrepresent your identity or affiliation
• Use the platform to harass, threaten, or harm any individual
• Attempt to gain unauthorised access to Flynton's systems or another customer's account
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell, sublicense, or make the platform available to third parties without Flynton's written consent
• Use automated scripts or bots to access the platform in a manner that exceeds normal usage
• Upload malicious code, viruses, or any content that could harm Flynton's systems or other users
• Use AI Outputs to create content that is misleading, defamatory, or violates third-party rights
5.3 Contact Data Responsibilities
You are the Data Controller for all Contact Data you upload to Flynton. You represent and warrant that:
• You have a lawful basis under applicable law for processing the personal data of every contact you upload
• You have provided appropriate privacy notices to your contacts
• You will honour all opt-out and data deletion requests from your contacts
• The Contact Data does not include personal email addresses (Gmail, Yahoo, Hotmail, or similar consumer domains)
• The Contact Data does not include sensitive personal data as defined under applicable law
5.4 Enforcement
Flynton reserves the right to investigate suspected violations of this Acceptable Use Policy. We may suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms. We may also report violations to relevant authorities where required by law.
6. AI-Generated Content
6.1 Nature of AI Outputs
Flynton uses artificial intelligence to generate ICP profiles, email sequences, message angles, and call scripts ("AI Outputs"). AI Outputs are generated based on information you provide and are intended as starting points for your review and editing.
6.2 Your Responsibility for AI Outputs
• You are solely responsible for reviewing all AI Outputs before use
• Flynton does not guarantee the accuracy, completeness, or fitness for purpose of any AI Output
• You must not use AI Outputs that are inaccurate, misleading, or potentially harmful
• You are responsible for ensuring AI Outputs comply with applicable laws before sending
• AI Outputs do not constitute legal, financial, or professional advice
6.3 AI Output Ownership
Subject to your compliance with these Terms, AI Outputs generated specifically for your account are owned by you. Flynton retains the right to use anonymised, aggregated patterns from AI Output usage (not the content itself) to improve the platform.
6.4 "Why This?" Explainability
Flynton provides reasoning behind AI decisions through the "Why this?" feature. These explanations are provided for informational purposes and to help you make informed decisions. They do not constitute guarantees of outcome or performance.
7. Intellectual Property
7.1 Flynton's Intellectual Property
Flynton and its licensors own all right, title, and interest in and to the Platform, including all software, algorithms, AI models, design, text, graphics, and other content. These Terms do not grant you any ownership rights in the Platform. The Flynton name, logo, and wordmark are trademarks of Flynton Technologies.
7.2 Your Intellectual Property
You retain all ownership rights in your Contact Data, your product descriptions, and the content you create using Flynton. You grant Flynton a limited, non-exclusive licence to process your data solely to provide the Platform services.
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant Flynton a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.
8. Confidentiality
Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent. Each party will protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information — and no less than reasonable care.
Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party; (c) is independently developed without use of the Confidential Information; or (d) must be disclosed by law or court order, provided prompt notice is given to the other party where lawful.
9. Data Processing
Where Flynton processes personal data on your behalf as a Data Processor under GDPR or as a Data Processor under India's DPDP Act 2023, the terms of our Data Processing Agreement (DPA) apply and are incorporated into these Terms by reference.
The DPA is available on request at privacy@flynton.com. For enterprise customers requiring a signed DPA, please contact us before commencing use of the Platform for processing personal data of EEA, UK, or Indian data subjects.
10. Warranties and Disclaimers
10.1 Flynton's Limited Warranty
Flynton warrants that the Platform will perform materially in accordance with its documentation during your Subscription period. Flynton's sole obligation for breach of this warranty is to use commercially reasonable efforts to correct the non-conformance, or if unable to do so within 30 days, to refund the pro-rated fees for the affected period.
10.2 Disclaimers
EXCEPT AS EXPRESSLY SET OUT IN SECTION 10.1, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
FLYNTON EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF AI OUTPUTS
• WARRANTIES THAT USE OF THE PLATFORM WILL ACHIEVE ANY PARTICULAR SALES OR BUSINESS RESULT
FLYNTON DOES NOT WARRANT THAT EMAILS SENT THROUGH THE PLATFORM WILL REACH THEIR INTENDED RECIPIENTS OR ACHIEVE ANY PARTICULAR OPEN, REPLY, OR CONVERSION RATE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
1. FLYNTON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
2. FLYNTON'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO FLYNTON IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
3. THESE LIMITATIONS APPLY WHETHER THE LIABILITY ARISES IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF FLYNTON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain types of damages. In such jurisdictions, Flynton's liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Flynton and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
• Your use of the Platform in violation of these Terms
• Your Contact Data, including any claim that your processing of Contact Data violates applicable law
• Your violation of any third-party rights including intellectual property rights or privacy rights
• Any content you create or distribute using AI Outputs
• Any claim by a third party arising from communications you send using the Platform
13. Cancellation and Termination
13.1 Cancellation by Customer
You may cancel your Subscription at any time from Settings → Billing within the Platform, or by contacting support@flynton.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Platform until the end of the paid period. No refunds are issued for unused time.
13.2 Termination by Flynton
Flynton may suspend or terminate your account immediately and without notice if:
• You breach any provision of these Terms or the Acceptable Use Policy
• We are required to do so by law or court order
• We reasonably believe your use of the Platform poses a risk to other users or to Flynton's systems
• Your account has been inactive for more than 12 months on a free plan
Flynton may terminate any Subscription with 30 days' notice for any other reason.
13.3 Effect of Termination
• Your right to access the Platform ceases immediately on termination
• Your data will be retained for 30 days after termination, after which it will be permanently deleted
• You may request an export of your data within the 30-day retention window
• Provisions of these Terms that by their nature survive termination will continue to apply
14. Dispute Resolution
14.1 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally. The party raising the dispute will send a written notice to the other describing the dispute and proposed resolution. The parties will negotiate in good faith for 30 days before proceeding to arbitration.
14.2 Arbitration
If informal resolution fails, all disputes arising out of or in connection with these Terms, including questions about their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act 1996 (India).

• Number of arbitrators: One (1) sole arbitrator

• Governing law: Laws of India
The arbitrator's award shall be final and binding on both parties.
14.3 Court Jurisdiction (Fallback)
For matters not subject to arbitration (including interim injunctive relief), both parties submit to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
14.4 Class Action Waiver
All disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
15. General Provisions
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, Data Processing Agreement (where applicable), and any order forms or Subscription confirmations, constitute the entire agreement between you and Flynton with respect to the Platform and supersede all prior agreements and understandings.
15.3 Amendments
Flynton may amend these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and display a notice within the Platform. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your Subscription before the effective date.
15.4 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
15.5 Waiver
Flynton's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Flynton.
15.6 Assignment
You may not assign or transfer these Terms or any rights hereunder without Flynton's prior written consent. Flynton may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets, provided that the assignee assumes all obligations under these Terms.
15.7 Force Majeure
Neither party will be liable for any failure or delay in performance due to causes beyond their reasonable control, including natural disasters, acts of government, internet outages, power failures, or other events outside a party's reasonable control.
15.8 Notices
Notices to Flynton must be sent to legal@flynton.com. Notices to you will be sent to the email address associated with your account. Notices are effective on receipt.

Flynton makes reasonable efforts to ensure the information on flynton.com is accurate and current. However, we make no warranties regarding the accuracy, completeness, or timeliness of any content on the website. Pricing, features, and product details are subject to change without notice.
4. Third-Party Links
flynton.com may contain links to third-party websites. These links are provided for convenience only. Flynton has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. Accessing third-party websites is at your own risk.
5. No Warranties
flynton.com is provided "as is" without any warranties of any kind. Flynton does not warrant that the website will be available at all times, free of errors, or free of viruses or other harmful components.
6. Limitation of Liability
To the maximum extent permitted by law, Flynton shall not be liable for any damages arising from your use of or inability to use flynton.com, including direct, indirect, incidental, or consequential damages.
7. Changes to These Terms
Flynton may update these Terms of Use at any time by posting the revised version on flynton.com. Continued use of the website after changes are posted constitutes your acceptance of the updated Terms.
8. Governing Law
These Terms of Use are governed by the laws of India. Any disputes arising from your use of flynton.com will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
